Item 2.02. Results of Operations and Financial Condition.

On August 13, 2024, Duos Technologies Group, Inc. (the “Company”) issued a press release announcing the financial and operating results of the Company for the quarter and six months ended June 30, 2024. The text of the press release is furnished as Exhibit 99.1 and incorporated herein by reference.

Additionally, on August 13, 2024, the Company held an earnings phone call open to the public (the “Earnings Call”). Mr. Chuck Ferry, the Company's Chief Executive Officer, along with Mr. Adrian G. Goldfarb, the Company's Chief Financial Officer, discussed the financial and operating results of the Company for the quarter and six months ended June 30, 2024.
