Gentlemen:

 

We have acted as counsel to you, Duos Technologies Group, Inc., a Florida corporation, (the “Company”) in connection with the Company’s Registration Statement on Form S-1 filed with the Securities and Exchange Commission (the “Commission”) pursuant to the Securities Act of 1933, as amended (the “Securities Act”) (File No.333-235455) (the “Registration Statement”) with respect to (i) 1,142,857 shares of the Company’s common stock, $0.001 par value per share (the “Common Shares”), (ii) warrants to purchase 85,715 shares of the Company’s common stock (“Common Stock”), being issued to the Underwriters as compensation for its services pursuant to an engagement letter entered into by and between the Company and the Underwriters (the “Underwriter Warrants”); (iii) up to 85,715 shares of Common Stock, underlying the Underwriter Warrants (the “Underlying Shares”); and (iv) up to 171,429 shares of Common Stock, purchased pursuant to over allotments, if any (the “Over Allotment Shares” and together with the Common Shares, the “Shares”). This opinion is being furnished in accordance with the requirements of Item 601(b)(5) of Regulation S-K under the Securities Act.

 

In connection with this opinion, we have examined the originals or copies certified or otherwise identified to our satisfaction of the following: (a) Articles of Incorporation of the Company, as amended to date, (b) Bylaws of the Company, as amended to date, and (c) the Registration Statement and all exhibits thereto. In addition to the foregoing, we also have relied as to matters of fact upon the representations made by the Company and its representatives and we have assumed the genuineness of all signatures, the authenticity of all documents submitted to us as originals, and the conformity to original documents of all documents submitted to us certified or photostatic copies. 

 

In connection with this opinion, we have examined the originals or copies certified or otherwise identified to our satisfaction of the following: (a) Articles of Incorporation of the Company, as amended to date, (b) Bylaws of the Company, as amended to date, and (c) the Registration Statement and all exhibits thereto. In addition to the foregoing, we also have relied as to matters of fact upon the representations made by the Company and its representatives and we have assumed the genuineness of all signatures, the authenticity of all documents submitted to us as originals, and the conformity to original documents of all documents submitted to us certified or photostatic copies.

 

Based upon the foregoing and in reliance thereon, and subject to the qualifications, limitations, exceptions and assumptions set forth herein, we are of the opinion that, having been issued and sold in exchange for payment in full to the Company of all consideration required therefor as applicable, and as described in the Registration Statement:

The Shares  are validly issued, fully paid and non-assessable;

 

 

(2)

The Underwriter Warrants constitute valid and binding obligations of the Company enforceable against the Company in accordance with their terms; and

 

 

(3)

The Underlying Shares, when issued upon exercise of the Underwriter Warrants in the manner and on the terms described in the Registration Statement and the Underwriter Warrants, including receipt of the requisite consideration set forth therein, will be duly authorized, validly issued, fully paid and non-assessable.
